Innate Pharma's Sobi Deal Rewrites the Funding Story — But Phase 3 Enrollment Slipped Again

Innate Pharma reported a loss of $0.24 per share for the second quarter ended June 2026, a figure that is almost beside the point. The number that actually matters in this report is €21.4 million — the cash, short-term investments and non-current financial instruments on the balance sheet at June 30. That is a company operating on fumes. What saves the quarter, and reframes the entire investment case, is what happened after the period closed: the Sobi licensing partnership for lacutamab closed on September 16, triggering a $75 million upfront payment, and an August 18 private placement raised roughly €30 million at €1.70 per share. Together those inflows push the projected cash horizon to the end of the first quarter of 2028, versus the "end of Q3 2026" runway management had reiterated across the three prior calls. Innate went from a matter of weeks of visibility to roughly eighteen months in the span of five weeks.

The reported financials show a company that has already been shrinking to fit. Operating expenses fell to €24.7 million in the first half from €30.3 million, with R&D down 17.8% to €16.9 million and G&A down 20.2% to €7.8 million. The cost reduction is driven by headcount: R&D staff went from 133 to 92, and G&A from 42 to 29. Revenue and other income rose modestly to €5.7 million from €4.9 million, but the mix is telling — collaboration and licensing revenue of €3.1 million was flattered by the €2.5 million recognition of an expired Sanofi option in January, while government research funding fell 20.1% to €2.5 million on lower eligible subcontracting. Monalizumab revenue is now fully recognized, so it contributes nothing. The net loss narrowed to €19.6 million from €21.3 million, but the improvement in the operating line (a €19.0 million operating loss versus €25.4 million) was partly offset by a swing to a €0.6 million net financial loss from a €4.1 million financial gain a year earlier. Shareholders' equity stood at negative €40.5 million, weighed down by €39.6 million of collaboration liabilities tied to co-financing monalizumab with AstraZeneca.

The call carried a noticeably more confident tone, and the reason is that vague language has been replaced by hard numbers. For three consecutive quarters management described a "pharma partnership or royalty structure" under negotiation. Now there is a defined structure: $75 million upfront, up to $40 million in near-term Sézary milestones, up to $465 million tied to Sobi's option for full development rights plus regulatory and commercial milestones, and tiered double-digit royalties. Management also disclosed U.S. pricing research supporting $500,000 to $625,000 per patient per year — the first concrete pricing figure after prior calls offered only a $150 million Sézary and greater-than-$500 million CTCL market framing. Importantly, Innate retains the Phase 3 execution burden while handing commercialization to Sobi, which preserves upside optionality but keeps the trial spend on Innate's books.

That is where the central tension sits. The TELLOMAK-3 confirmatory Phase 3 is technically "initiated," but first patient in is now guided to the first quarter of 2027 — a slip from the "initiate H2 2026" target given in the two prior calls and from the "H1 2026" initiation discussed a year ago. The accelerated-approval filing in Sézary syndrome now lands in the second half of 2027. Financing risk has been substituted for timeline risk, not eliminated. Meanwhile the pipeline has narrowed: IPH5201/MATISSE, an AACR highlight earlier this year, and the ANKET platform assets have effectively dropped out of the focus narrative, even though MATISSE continues enrolling PD-L1-positive patients after a 27.5% pathological complete response interim result.

The near-term catalysts are genuinely dense. IPH4502, the Nectin-4 exatecan ADC, completed dose escalation and backfill with 76 patients, with roughly 15 in expansion cohorts spanning post-enfortumab vedotin urothelial cancer and head and neck; initial Phase 1 data arrive November 18 at ENA 2026. Objective responses have now been described beyond urothelial to include NSCLC and HNSCC, with limited hematological toxicity — a differentiation claim that the November data will either validate or deflate. The NSCLC expansion cohort, however, saw somewhat lower-than-expected enrollment. Separately, AstraZeneca's PACIFIC-9 readout for monalizumab remains on track for the second half of 2026, a timeline reaffirmed across four straight calls, with the cited patient count now 1,051. Three binary events inside roughly six months, on a newly funded balance sheet, is a materially different setup than the one investors faced a quarter ago.

Earnings Whispers investor sentiment sits at a modestly positive 0.3338, and the stock at $2.01 trades about 14.8% above its $1.75 200-day moving average — meaning the market has already rewarded the Sobi transaction and the financing rather than dismissing them. That cuts both ways. The dilution from 17.6 million new shares at €1.70 is done, the existential funding question is answered, and expectations have reset higher into the November ADC data. Investors are no longer being paid to take financing risk; they are being paid to take clinical risk. Note too that $75 million remains available under the April 2023 at-the-market program, so the equity door is not closed.

The bottom line is that Innate Pharma's headline loss tells you nothing while the balance sheet transformation tells you everything: a closed Sobi partnership and equity raise converted a company weeks from a funding cliff into one with runway into the first quarter of 2028, concrete deal economics up to $580 million plus double-digit royalties, and three catalysts — ENA data on IPH4502, the PACIFIC-9 readout, and TELLOMAK-3 startup — inside the next two quarters. The cost is a real one: Phase 3 first-patient timing has now slipped twice, the filing pushes to the second half of 2027, and the pipeline has been visibly narrowed to fund the priorities. With shares already above the 200-day average and sentiment modestly positive, the easy re-rating on financing relief has largely happened, and the November 18 IPH4502 dataset becomes the next real test of the story.
