Mativ Clears a Low EPS Bar as FAM Hits Record Growth, but SAS Weakness and a Softer Q4 Guide Leave a Split Story

Mativ Holdings reported adjusted third-quarter earnings of $0.31 per share, beating the $0.25 consensus by 24.0%. Revenue of $499.5 million missed the $510.0 million estimate by 2.1%. The beat came against a sharply lowered bar. Earnings fell 20.5% year over year from $0.39, revenue declined 2.8%, and consolidated adjusted EBITDA fell 7% to $62.3 million. This was a quarter of two very different businesses. Filtration & Advanced Materials (FAM) posted its strongest growth on record, while Sustainable & Adhesive Solutions (SAS) absorbed a tornado, tariffs and a lingering healthcare destock. The central tension is whether FAM's acceleration can outrun SAS's problems before the consolidated numbers turn.

The segment split is stark. FAM sales rose 11.6% organically to $218.5 million, up from roughly 2% organic growth in Q1 and 5% in Q4 2025. Segment adjusted EBITDA jumped 20.4% to $39.6 million, and margin expanded 150 basis points to 18.1% on volume, mix and favorable price-versus-cost.

SAS moved the other way:

  • Sales fell 10.9% to $281.0 million.
  • Adjusted EBITDA dropped 24.7% to $32.6 million.
  • Margin compressed 210 basis points to 11.6%.

The July tornado at the Wisconsin paper and packaging operation accounts for most of the revenue damage, which management sized at $20 million to $25 million, consistent with its Q2 estimate. Lower healthcare volume, currency and higher distribution costs also contributed.

GAAP results improved only modestly. The net loss narrowed to $1.2 million, or $(0.03) per share, from $3.2 million. A 185.7% tax rate, driven by losses in jurisdictions with full valuation allowances, consumed nearly all pretax income.

The quality of the beat deserves scrutiny. On its Q2 call, management had suggested Q3 EBITDA would be a small net positive excluding the tornado. Instead, consolidated EBITDA margin slipped 50 basis points to 12.5%, and third-quarter free cash flow fell to $37.5 million from $66.7 million as operating cash flow dropped and capital spending nearly doubled.

The year-to-date picture is better:

  • Adjusted EBITDA is up 8% to $184.8 million, with margin up 100 basis points to 12.2%.
  • Free cash flow is up 5% to $90.5 million.
  • Net debt has fallen to $879.1 million.
  • Net leverage has improved to 3.8x from 4.2x at year-end.

Management made its deleveraging timeline explicit, targeting the upper end of a 2.5x to 3.5x range by mid-2027. The planned sale of the closed Appleton facility for roughly $7 million should add fourth-quarter cash.

The call preserved a credible growth story in FAM. Commercial space specialty films moved from qualification into commercial production during Q3. Space films revenue rose 30% year over year and should scale with customer launch cadence through 2027. Management also cited share gains in aftermarket transportation filtration and paint protection films, plus lignin-based filter media now in production with major aftermarket customers. Management said October and November order pacing supports year-over-year organic volume growth in both segments in Q4. Insurance is expected to fully reimburse damaged inventory, and a business-interruption claim is in progress.

Bears have legitimate ammunition, however:

  • Guidance moved lower: fourth-quarter adjusted EBITDA is expected to decline by a low-single-digit percentage year over year.
  • Healthcare destocking now runs through year-end, with normalization pushed to early 2027 after earlier hopes for second-half 2026 improvement.
  • New 50% Canadian tariffs on Renfrew tape exports to the U.S. affect about 2% of revenue.
  • The interim three-warehouse network created after the tornado keeps adding logistics costs.
  • Price/cost tailwinds are tapering as input costs catch up.
  • European tape demand remains soft.
  • Interest expense is still running near $18 million a quarter on higher floating rates.

Management still says it expects full-year performance ahead of 2025, which the year-to-date numbers make plausible even with a modestly weaker fourth quarter.

Investor sentiment shifted meaningfully. It moved from slightly negative (-0.13) after the August report to clearly positive (+0.58) heading into this release. The stock has followed: at $12.10, shares are up 12.8% from the $10.73 opening after the prior report and sit about 18% above the 200-day moving average of $10.27. Price and momentum readings are positive, though the AVWAP trend remains negative. Expectations have risen materially into a quarter whose consolidated figures declined and whose guidance softened. That makes the market setup more complicated than the 24% EPS surprise implies.

The bottom line is that Mativ delivered a headline EPS beat built on a heavily reduced estimate, with FAM's record growth and space-films ramp doing the heavy lifting. The tornado, tariffs and healthcare destock in SAS kept consolidated earnings, EBITDA and quarterly cash flow below last year. Deleveraging and a credible FAM growth engine support the improved sentiment. Still, with the Q4 EBITDA guide pointing lower and SAS recovery pushed into 2027, the stock's run above its 200-day average leaves less room for further slippage in the weaker segment.
