Neogen Beats and Raises as Core Growth Hits 8.1%, but Order Timing and a Flat Margin Outlook Temper the Turnaround Story

Neogen delivered its cleanest quarter of the turnaround so far, and the headline numbers were strong. Earnings Whispers puts fiscal first-quarter earnings at $0.07 per share, ahead of the $0.04 consensus and the $0.06 Earnings Whisper number, a 16.7% surprise and 250.0% year-over-year growth. Revenue of $222.8 million rose 6.5% and beat the $208.09 million consensus by 7.1%. Management raised full-year guidance. Some figures differ by measure. The company's own adjusted EPS was $0.08, versus $0.04 a year ago, while GAAP showed a net loss of $0.05 per share. The year-ago GAAP profit of $0.17 was inflated by a $76.4 million gain on the Cleaners & Disinfectants divestiture. The central tension is that the best core growth in years arrived alongside evidence that part of it was borrowed from future quarters, and the margin story has not moved.

The underlying improvement is real. Core growth accelerated from 0.1% in the third quarter of fiscal 2026 to 4.3% in the fourth quarter and 8.1% this quarter. GAAP operating loss narrowed to $1.8 million from $16.1 million. GAAP gross margin improved to 47.4% from 45.4% as costs from integrating the former 3M Food Safety business faded. Adjusted EBITDA rose to $41.6 million, a 170-basis-point margin expansion to 18.7%. Adjusted operating expenses were held essentially flat at $74.4 million, so revenue growth produced operating leverage. Even so, the quality of the beat deserves scrutiny. The company acknowledged that roughly 3 points of core growth came from easy comparisons against prior-year distributor inventory adjustments and from the timing of customer orders. The call put that benefit at about 400 basis points in Food Safety, implying underlying segment growth closer to 4%. The guidance raise also tells the story: Q1 revenue topped the company's own $207-$209 million guide by roughly $14 million, yet full-year revenue guidance rose only $5 million, to $885-$890 million.

The operating detail beneath that was encouraging. Within Food Safety, Indicator Testing and Culture Media, which includes Petrifilm, grew about 11%. Bacterial and General Sanitation grew 7%, with double-digit growth in pathogen detection. Animal Safety swung from an 8.7% core decline two quarters ago to 8.0% core growth, helped by recovering needle and syringe supply. The segment's reported growth was a lower 4.2% because of divestitures. Asia Pacific grew double digits. Most notably, management cited competitive conversions and global strategic account wins for the first time in a long while. Strategic accounts grew 6.2%, and management outlined a path above 8% for the year. The tone shifted from FY26's language of stabilization to "scaling fundamentals."

The margin outlook is where bears have legitimate ammunition. The $1 million increase in adjusted EBITDA guidance, to $181-$183 million, roughly matches the extra revenue and implies a flat full-year margin. Management expects first-half margins to hold near Q1's 18.7%, below the 20.2% of the fourth quarter and 22.8% of the third quarter. Three costs drive that: a step-up in R&D spending, the sales meeting, and duplicative Petrifilm manufacturing costs, which rose to $5.6 million from $2.3 million. Efficiency gains are weighted to the back half. The 200-300 basis points of margin benefit from bringing Petrifilm in-house is not expected until fiscal 2029.

Still, the quarter meaningfully de-risked the biggest operational overhang. The first Petrifilm SKU was fully validated in August, as promised. The multi-quarter transfer to Lansing is set to begin in November 2026. The balance sheet is also improving, though cash generation remains uneven:

- **Debt:** Non-current debt fell to $774 million from $794 million after a $20 million paydown, and another $10 million followed at the end of September.

- **Cash flow:** Free cash flow of $4.7 million was seasonally light against more than $26 million in the fourth quarter, but improved about $18 million year over year.

- **Genomics sale:** The divestiture to Zoetis, with about $140 million in net proceeds, now depends on an Australia/New Zealand regulatory decision expected by the end of December.

- **Innovation:** The Hinalea hyperspectral imaging partnership adds an early-stage digital angle.

Investors were already warming to the story. Earnings Whispers sentiment nearly doubled, from 0.23 to 0.45, a meaningful shift from tepid to clearly positive. Shares opened at $10.50 after the July report, against a 200-day moving average near $10.03. The trend readings lean positive, with price and momentum trends favorable but AVWAP still negative. That leaves the setup constructive but not one of uniform market conviction.

The bottom line is that Neogen produced a genuine beat-and-raise with broad-based core acceleration, a key Petrifilm milestone, and steady deleveraging. However, roughly 3 points of growth were timing-driven and the margin outlook is unchanged. With sentiment now markedly more optimistic, the next test is whether underlying growth holds near 4%-plus once timing benefits reverse, and whether the Petrifilm transition stays on schedule.
